4.4Save as required by law or as otherwise agreed by MEGRA in writing, all Fees paid are non-refundable.
4.5MEGRA may suspend a Paid Plan, or reduce it to the limits of the Free Plan, if any Fees remain unpaid after their due date.

5.2The Customer grants MEGRA a non-exclusive, royalty-free, worldwide licence, for the duration of the Account, to host, store, copy, reformat (including resizing and compressing) and transmit the Customer Content to the Customer's Devices, solely to the extent necessary to provide and support the Service. MEGRA shall not disclose the Customer Content to other customers and shall not use it for advertising.
5.3The Customer represents and warrants that it owns or has obtained all rights, licences, consents and permissions necessary for the Customer Content and its display, including the consent of any person identifiable in it.

7. Suspension and Removal
7.1MEGRA may, without liability and without prior notice where it considers this necessary, remove or disable any Customer Content, stop Devices from receiving new content, or suspend or terminate the Account, if MEGRA reasonably believes that the Customer has breached these Terms or any law, or if required by any court, regulatory or government authority.
7.2Where reasonably practicable, MEGRA will inform the Customer of the reason for any action taken under Clause 7.1.
8. Devices and Connectivity
8.1Unless supplied by MEGRA under a separate written agreement, the Customer is solely responsible for procuring, installing, operating and maintaining its Devices, electricity supply and internet connection.
8.2MEGRA shall have no liability for any Device, including its malfunction, damage, wear, screen burn-in, settings or connectivity. The App is designed to continue playing stored content without an internet connection, but MEGRA does not warrant that it will do so on every Device.
9. Intellectual Property
9.1All rights, title and interest in and to the Service, the App, the Website and all related software, designs and trade marks (including the MEGRA name and logo) are and shall remain the property of MEGRA or its licensors.
9.2Subject to these Terms, MEGRA grants the Customer a limited, non-exclusive, non-transferable, revocable licence to install and use the App on its Devices and to use the Service during the term of the Account, solely for the Customer's internal business purposes.
10. Data Protection
10.1MEGRA processes personal data in accordance with the Personal Data Protection Act 2010 and the Privacy Policy, which forms part of these Terms.
10.2To the extent the Customer Content contains personal data of any person, the Customer is responsible for having a lawful basis and all necessary consents for its collection, use and display.
10.3The Customer acknowledges that MEGRA support may request an image of the content displayed on a Device solely for the purpose of providing support for that Device.
11. Use at Your Own Risk and Disclaimer of Warranties
11.1THE CUSTOMER EXPRESSLY ACKNOWLEDGES AND AGREES THAT ITS ACCESS TO AND USE OF THE SERVICE, THE APP AND THE WEBSITE, AND ANY RELIANCE ON THEM, IS ENTIRELY AT THE CUSTOMER'S OWN RISK.
11.2The Service is provided on an "as is", "as available" and "with all faults" basis. To the fullest extent permitted by law, MEGRA disclaims all warranties, representations and conditions of any kind, whether express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement.
11.3Without limiting Clause 11.2, MEGRA does not warrant that the Service will be uninterrupted, timely, secure or free from errors, that content will be displayed at any particular time or at all, or that any Customer Content will be retained without loss. Play counts, online times and other statistics are approximate.
11.4The Customer assumes sole and full responsibility for choosing the Service to achieve its intended results, for the Customer Content, for its Devices, and for all results obtained from the use of the Service.
12. Exclusion of Liability
12.1TO THE FULLEST EXTENT PERMITTED BY LAW, MEGRA AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS SHALL HAVE NO LIABILITY WHATSOEVER TO THE CUSTOMER OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, FOR ANY LOSS, DAMAGE, COST OR EXPENSE OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, THE APP, THE WEBSITE, ANY DEVICE OR THESE TERMS, INCLUDING: (a) loss of profit, revenue, sales or business;

12.2Without prejudice to Clause 12.1, if MEGRA is nevertheless held liable to the Customer by a court of competent jurisdiction, MEGRA's total aggregate liability arising out of or in connection with these Terms and the Service shall in no event exceed: (a) for a Customer on the Free Plan, Ringgit Malaysia Fifty (RM50.00); and (b) for a Customer on a Paid Plan, the total Fees actually paid by the Customer to MEGRA for the Service in the three (3) months immediately preceding the event giving rise to the claim.
12.3Nothing in these Terms shall exclude or limit any liability for fraud, or any other liability which cannot be excluded or limited under applicable law.
12.4The Customer acknowledges that the exclusions and limitations in Clauses 11 and 12 are reasonable, reflect the free or low cost of the Service, and form an essential basis of the agreement, without which MEGRA would not provide the Service.
13. Indemnity
13.1The Customer shall defend, indemnify and hold harmless MEGRA and its directors, officers, employees and agents from and against all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees on a solicitor-and-client basis) arising out of or in connection with: (a) the Customer Content; (b) the Customer's use of the Service or any Device; or (c) any breach of these Terms or of any law by the Customer.

14.2The Customer may terminate the Account at any time by deleting it through the Website (Account → "Delete my account") or as described at signage.megra.my/delete-account.
14.3MEGRA may terminate the Account or discontinue the Service: (a) for convenience, by giving the Customer not less than fourteen (14) days' notice; or (b) immediately under Clause 7.1.
14.4Upon termination, the Customer's right to use the Service ceases, the Customer Content is deleted, and the Devices cease to receive new content. Clauses 5.3, 5.4, 6, 8.2, 9.1, 11, 12, 13, 18 and 19, and any accrued rights and liabilities, survive termination.

15.2MEGRA will notify the Customer of any material amendment at least fourteen (14) days before it takes effect, including by a notice displayed when the Customer logs in. The Customer's continued use of the Service after the amendment takes effect constitutes acceptance of the amended Terms. If the Customer does not accept an amendment, its sole remedy is to stop using the Service and delete its Account.
16. Force Majeure
MEGRA shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including power or internet failures, failures of hosting or third-party service providers, natural disasters, epidemics, fire, flood, war, civil disturbance, cyber-attacks or acts of any government or authority.
17. Notices

19.3No waiver. No failure or delay by MEGRA in exercising any right shall operate as a waiver of that right.
19.4Assignment. The Customer may not assign or transfer its rights or obligations under these Terms without MEGRA's prior written consent. MEGRA may assign or transfer its rights and obligations to any successor of its business.
